Corporate Reorganizations and Shareholder Buyouts

A corporate reorganization can prepare a business for growth, a sale, succession or a change in ownership. Barr LLP advises Alberta corporations and their shareholders on reorganizations and shareholder buyouts, with close attention to both the tax rules and the practical result, whether the goal is to separate assets, admit or exit an owner, move value to the next generation, or simplify a group of companies.

Tax-deferred corporate reorganizations may include:

  1. Transfers of property to a corporation under section 85
  2. Share exchanges and capital reorganizations
  3. Estate freezes and growth-share structures
  4. Amalgamations or wind-ups within a corporate group
  5. The creation or use of holding companies
  6. The separation of business and investment assets
  7. Changes to partnership or shareholder structures

Tax deferral is not automatic. The sequence of steps, share terms, elected amounts, valuation support and filing requirements all matter. We ensure the corporate records and transaction documents reflect the intended tax treatment.

Shareholder buyouts and ownership changes:

  • A shareholder exit can arise from retirement, succession, a relationship breakdown, a deadlock, or a negotiated purchase.
  • Structures vary. Remaining shareholders may buy the departing owner’s shares, the corporation may redeem its own shares, or a new corporation may complete the acquisition, each with different tax consequences.
  • We advise on deemed dividends and capital gains, purchase-price allocation, corporate surplus, shareholder loans, promissory notes and available tax attributes.
  • Valuation is especially important when parties are related. We coordinate with qualified valuators where an independent opinion is needed.

Estate freezes and business succession:

  • An estate freeze fixes the current owner’s interest at its present value while future growth accrues to children, key employees or a family trust.
  • The plan must address control, income needs, voting rights, future redemptions and what happens if circumstances change.
  • We also review older freezes and reorganizations when ownership, family circumstances or business plans have changed.

Corporate reorganizations and buyouts are most effective when planning begins before binding commitments are made. We provide clear advice and implementation through the legal steps, corporate records and coordination of required filings.
